WTSC Constitution and Bylaws

Interim Amendments to the WTSC Constitution

In light of the extenuating circumstances due to the current pandemic, the Board of Directors has enacted interim amendments to the WTSC bylaws to permit the AGM to be held in February 2021 (normally would have been held in November 2020) and to permit election voting at the virtual AGM by show of hands.

The relevant amendments are as follows:

By-law 23: Timing, Quorum, Special Meeting Request

PRE-AMENDMENT:  An Annual General Meeting shall be held within 90 days of the close of the fiscal year, which shall be August 31, or such other date as the Board may from time to time by resolution determine. Other general meetings may be held from time to time upon the request of the Board of Directors or upon written request of 25% per cent of Club Members. A quorum for an Annual General Meeting or Special Meeting shall be 5% per cent of the eligible-voting members.

POST-AMENDMENT:  An Annual General Meeting shall be held within 180 days of the close of the fiscal year, which shall be August 31, or such other date as the Board may from time to time by resolution determine. Other general meetings may be held from time to time upon the request of the Board of Directors or upon written request of 25% per cent of Club Members. A quorum for an Annual General Meeting or Special Meeting shall be 5% per cent of the eligible-voting members.

By-law 26: Voting on Club Elections

PRE-AMENDMENT:  Voting on Club elections shall be by secret ballot and a simple majority shall elect a candidate. Voting on other matters may be by a show of hands.

POST-AMENDMENT:  Voting on Club elections shall be by secret ballot and a simple majority shall elect a candidate. Voting on other matters may be by a show of hands.  Notwithstanding the above, voting need not be by secret ballot at a virtual Annual Meeting held during a pandemic.
